We equip women consultants to lead community-centered solutions in community health, women’s health and maternal wellness through training, convenings, community conversations, analyses, and campaigns. C4C applies for nonprofit funding to support community-driven projects from private funding sources. By partnering with The Renewell Foundation, consultants gain access to funding, collaboration, and visibility to increase their income, influence, and impact.

CONSULTING AGREEMENT

The Consultants for Communities Hub (C4C), a project of The Renewell Foundation, consulting Agreement ("Agreement") is entered into as of the date of electronic signature ("Effective Date") by and between The Renewell Foundation, a nonprofit organization ("Renewell"), and the consulting signee, an independent consultant ("Consultant").

1. Purpose of Agreement
Consultant agrees to provide consulting services under the banner of C4C, a Renewell initiative, and to participate in grant-funded initiatives aligned with the organization’s mission of promoting community health, women’s health, general health consulting services, and maternal wellness.

2. Consultant Participation
Consultant agrees to actively seek and apply for grant opportunities that support the work of C4C. All grant applications submitted under this agreement must:
a. Include The Renewell Foundation as the lead applicant due to its nonprofit status.
b. Allocate 20% of the total award to The Renewell Foundation for project design, project management, reporting, planning, and partnership capacity purposes. This is separate from the indirect cost or operational line item in your budget.
c. Include collaborative language and structure consistent with the C4C model, including facilitation, training, convenings, community conversations, analyses, and your aligned areas of expertise.
d. Consultant agrees not to submit any applications without first meeting with and obtaining approval of the final draft from the Renewell team.
e. Consultant understands that all proposals are the consultant's responsibility to write and submit.
d. Consultant will provide collateral in the form of a brief, report, webinar, toolkit, or other resource that can be shared in the C4C library.
e. Consultant agrees to post funding opportunities at least once per month on the C4C private platform.

3. Platform Intellectual Property and Exclusivity
Consultant agrees to the following use terms regarding any funding opportunities, training materials, campaign content, or partnership leads ("Platform Content") shared through C4C's internal portal, meetings, or documents:

Consultant shall not independently apply for grants, programs, or partnerships that originated or were shared within the Renewell platform or its affiliates without using the approved C4C grant-sharing partnership model.

Any use of RFPs/RFQs/applications shared in among C4C consultants must follow the structure where 20% of awarded funds are allocated to The Renewell Foundation.

Violation of this clause may result in termination from the Institute and potential legal recourse.​
4. Independent Contractor Status
Consultant is an independent contractor and not an employee, agent, or representative of The Renewell Foundation. Nothing in this Agreement shall be construed to create any employment, joint venture, partnership, or agency relationship.

5. Release of Liability
Consultant hereby releases The Renewell Foundation, its officers, board members, agents, and affiliates from any and all liability, claims, demands, actions, or causes of action arising out of or related to:

Participation in any C4C-led program, convening, or training

Delays or changes in grant funding

Rejection of proposals or awards
-
Use of grant funding and its associated outcomes
Consultant assumes full responsibility for their own work, decisions, and business outcomes under this Agreement.

6. Term and Termination
This Agreement is effective as of the Effective Date and shall continue until terminated by either party with 30 days’ written notice. In the event of a violation of Sections 2 or 3, Renewell reserves the right to terminate this Agreement immediately and pursue all remedies available under the law.

7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Collin County, Texas without regard to conflict of law principles.

8. Entire Agreement
This Agreement contains the entire understanding between the parties and supersedes all prior or contemporaneous agreements, written or oral, concerning the subject matter herein.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date of registration in the online C4C platform.
